1H N1ar VILLAGE OF CHANHASSEN STEINER & KOPPELMAN , INC. BLUFF CREEK HIGHLANDS SECOND ADDITION DEVELOPMENT CONTRACT THIS AGREEMENT, Made and entered into this day of�p�',� 1971, by and between the VILLAGE OF CHANHASSEN, a Minnesota municipal corporation, hereinafter referred to as the Village, and STEINER & KOPPELMAN, INC. , a Minnesota corporation, hereinafter referred to as the Developer. WITNESSETH: WHEREAS, The Developer is the fee owner of certain lands in the Northwest Quarter of Section 26, Township 116, Range 23, Carver County, Minnesota, and situated in the Village of Chanhassen, and WHEREAS, The Developer has made application to the Village Council for the approval of a plat of said lands, said plat to contain __ _� acres, more or less, divided into four lots and one outlot, and to be known as Bluff Creek Highlands Second Addition, a copy of said proposed plat being attached hereto as Exhibit A, and WHEREAS, The Village Council has, by its resolution passed 307W 1971, granted preliminary approval of said plat, subject to and on condition that, the Developer enters into this agreement, and WHEREAS, The Developer has made application to the Village to be allowed at Developer's expense to construct, install and perform all work and furnish all materials in connection with the installation of the following improvements: a) Street grading, stabilizing and surfacing; b) Curbs and gutters; c) Street lighting; d) Street signs; e) Underground electric and telephone service facilities; f) Boulevard sod; g) Driveway surfacing. WHEREAS, The Developer has heretofore filed with the Village plans bearing date S - 13 , 1971,.of the proposed installation of streets as prepared by //— said plans and specifications being incorporated herein by reference and made a part of this agreement. NOW, THEREFORE, in consideration of the foregoing premises and acceptance by the Village of the plat of Bluff Creek Highlands Second Addition, Developer agrees as follows: 1. Improvements by Developer. Developer agrees at its expense to construct, install and perform all work and furnish all materials and equipment in connection with the installation of the following improvements: a) Street grading, stabilizing and surfacing; b) Curbs and gutters; c) Street lighting; d) Street signs; e) Underground electric and telephone service facilities. 2. Standards of Construction. Developer agrees that all of the foregoing improvements shall equal or exceed Village standards, shall be constructed and installed in accordance with engineering plans and specificiations approved by the Village Engineers and the requirements of applicable Village Ordinances, and that all of said work shall be subject to the supervision of the Village Engineers. -2- 3. Materials and Labor. All of the materials to be employed in the making of said improvements and all of the work performed in connection therewith shall be of uniformly good and workmanlike quality, shall equal or exceed Village specifications , and shall be subject to the inspection and approval of the Village Council and the Village Engineers. In case any material or labor supplied shall be rejected by the Village Council or Village Engineers as defective or unsuitable, then such rejected material shall be removed and replaced with approved material, and rejected labor shall be done anew to the satisfaction and approval of the Village Council or Village Engineers at the cost and expense of the Developer. 4. Schedule of Work. The Developer further agrees that it shall commence work hereunder on or before 1 2.1T� ®4fl. , 1971, and shall have all work done and improvements fully completed to the satisfaction and approval of the Village Or Council on or before %JG/LY , 1977, The Developer shall submit a written schedule indicating the proposed progress schedule and order of completion of work covered by this contract, which schedule shall be a part of this contract. Upon receipt of written notice from the Developer of the existence of causes over which the Developer has no control which will delay the completion of the work, the Village, in its discretion, may extend the date hereinbefore specified for completion. 5. Reimbursement of Costs. The Developer shall reimburse the Village for all costs, including reasonable engineering, legal and administrative expenses incurred by the Village in connection with all matters relating to the administration and enforcement of the within agreement and the performance thereof by the Developers. -3- 6. Disclaimer by Village. It is understood and agreed that the Village, the Village Council and the agents and employees of the Village shall not be personally liable or responsible in any manner to the Developer, the Developer's contractors or sub -contractors, material men, laborers or to any other person, firm or corporation whomsoever, for any debt, claim, demand, damages, actions or causes of action of any kind or character arising out of or by reason of the execution of this agreement or the performance and completion of the work and improvements hereunder; and that the Developer will save the Village, the Village Council, and the agents and employees of the Village harmless from any and all claims, damages, demands, actions or causes of action arising and the costs, disbursements and expenses of defending the same. 7. Written Change Orders. The Developer shall do no work nor furnish materials not covered by the plans and specifications for which reimbursement is expected from the Village unless a written order for such work or materials is received from the Village. Any such work or materials which may be done or fur- nished by the Developer without such written order first being given shall be at its own risk, cost and expense, and Developer hereby agrees that without such written order Developer will make no claim for compensation for work or materials so done or furnished. 8. Performance Bond. For the purpose of assuring to the Village that the improvements to be by the Developer constructed, installed and furnished as set forth in Paragraph 1 hereof shall be constructed, installed and furnished according to the terms of thisaagreement, and that the Developer shall pay all claims for work done and materials and supplies furnished for the performance of this agreement, d Developer agrees to furnish to the Village a corporate surety bond approved by 0 the Village in the amount of $ "�f naming the Village as obligee thereunder and conditioned upon the perfromance by the Developer of its obliga- tions hereunder, said sum being eQual to 110% of the total cost of such improve- ments as estimated by Schoell & Madson, Inc. , the Village Engineers, and as set forth in the report to said Engineers to the Village Council dated Zo %1 1971, which report is incorporated herein by reference and made a part of this agree- ment. Said bond shall be attached hereto and made a part hereof. 9. Boulevards and Driveways. The Developer agrees to furnish, construct and install, at Developer's sole expense, the following improvements for the bene- fit of each lot within the plat; a) Boulevard sod which shall be of uniformly good quality. b) Driveway surfacing, the materials and installation of which shall be approved by the Village Engineers. For the purpose of assuring to the Village that the improvements required by this Paragraph 9 shall be constructed and installed according to the requirements `• of this agreement, Developer agrees to deposit the sum of $ S per lot with the Village at the time application is made for a building permit for each lot. Said deposit shall be returned to the Developers upon approval of the installations by the Village. 10. Erosion Control. Developer shall keep all streets within the plat free of all dirt and debris resulting from construction therein by the Developer or its agents. Developer, at its expense, shall construct or provide temporary dams, earthwork -5- or such other devises as shall be needed, in the judgment of the Village Engineers, to prevent the washing, flooding or erosion of the contiguous lands and roads within and outside the plat during all phases of construction, including construction on individual lots. Reasonable access to all lots within the subdivision shall be provided and maintained by the Developer until the completed streets are accepted by the Village. 11. Re; lacement. All work and materials performed and furnished hereunder by the Developer, its agents and subcontractors found by the Village to be defective within one year after acceptance by the Village shall be replaced by the Developer at Developer's sole expense. 12. Building Permits. Breach of any terms of this agreement by the Developer shall be grounds for denial of building permits within the plat. 13. Liability Insurance. The Developer shall take out and maintain during the life of this agreement public liability and property damage insurance covering personal injury, including death, and claims for property damage which may arise out of the Developer's work or the work of its subcontractors , or by one directly or indirectly employed by any of them. The Village shall be named as co-insured on said policy and the Developer shall file a copy of the insurance coverage with the Village. 14. Street Lighting. The expense of furnishing electrical energy for street lighting purposes shall be assumed by the Village 24 months after the completion of installation of the street lighting system, or after 75% of the building lots have been improved by the construction of residences thereon, whichever is first to occur. well A 15. Remedies Upon Default. In the event the Developer shall default in the performance of any of the covenants and agreements herein contained, and such default shall not have been cured within /® days after receipt by the Developer of written notice thereof, the Village, if it so elects, may cause any of the required improvements to be constructed and installed, and may cause the entire cost thereof, including all reasonable engineering, legal and administrative expense incurred by the Village, to be assessed as a special assessment against the benefited property in the manner provided by law, and in addition thereto, the Village may take legal action against the Developer and the surety on its performance bond to collect all of the costs of the making of any of said improvements. 16. Successors and Assigns. It is agreed by and between the parties hereto that the agreement herein contained shall be binding upon and inure to the benefit of their respective legal representatives, successors and assigns. PUBLIC HEARING - BLUFF CREEK HIGHLANDS 2ND ADDITION - REZONING AND PRELIMINARY PLAT - August 18, 1971 - 7:30 P.M. The Planning Commission and the Village Council of Chanhassen met on August 18, 1971, at 7:30 p.m. for a joint Public Hearing on the above. Council Members present: Mayor Coulter, Councilmen Bennyhoff and Neils. Planning Commission Members present: John Neveaux, Arnold Ryba, Dan. Herbst, Ward Passe and Nick Waritz. Interested persons present: Maynard Happe, Mr. & Mrs. John Malakowsky, Susan Pedersen, Rick Lang, Jim Orr, Mr. & Mrs. Willard Johnson and Mrs. Ida Johnson. The Administrator read the official notice of the Public Hearing. The Village Engineer gave the engineering report on the preliminary plat. Rick Lang, representing Steiner & Koppelman, explained the proposed plat. Concern was expressed by Mr. Happe and Mr. Malakowsky about people parking and walking to Outlot B which is represented as a possible park site. Councilman Klingelhutz arrived. No other objections were voiced. A motion was made by Councilman Bennyhoff and seconded by Councilman Neils to close the Public Hearing on rezoning. The following voted in favor the Mayor Coulter, Councilmen Bennyhoff, Klingelhutz and Neils. No negative votes. Motion carried. A motion was made by Nick Waritz and seconded by Ward Passe to close the Public Hearing for the preliminary plat. Motion unanimously approved. The Village Council will make their final decision at the August 30, 1971, Council Meeting. --------------------------------------------------------------------- CHANHASSEN VILLAGE COUNCIL MINUTES - August 16, 1971 The Chanhassen Village Council opened its meeting on August 16, 1971, at 8:15 p.m., with the Pledge to the Flag. The following members were present: Mayor Coulter, Councilmen Bennyhoff, Klingelhutz, and i Neils. i i CHANHASSEN VILLAGE COUNCIL MINUTES - August 30, 1971 -2- BLUFF CREEK HIGHLANDS 2ND ADDITION: John Neveaux, Chairman of the Planning Commission, gave the Planning Commission's reco- mendations. Paul Steiner stated that he would not give Outlot A to the Village free of charge. He stated he would agree to some specific terms such as, 1/3 down and two equal payments of the balance or four payments of $500.00 each plus 5% interest. Sally deLancey stated, as a member of the Park and Recreation Commission, that they did not plan to spend any money at this time for this Outlot. A motion was made by Councilman Wolf and seconded by Councilman Bennyhoff to accept the preliminary plat of Bluff Creek Highlands 2nd Addition and authorize the Village to enter into an agreement to purchase Outlot A in four, $500.00 payments with 5% interest on the unpaid balance. The following voted in favor thereof: Councilmen Bennyhoff, Klingelhutz and Wolf. Mayor Coulter and Councilman Neils voted no. Motion carried. Councilman Neils explained that she voted no because Outlot A, in her opinion is unbuildable land. Mayor Coulter stated that he voted no because he felt that there should have been a motion on each question. Councilman Klingelhutz stated that the reason he voted yes was, once the variance had been granted to -ordinance #45, with -the understanding that we would purchase this 6 acre tract of land, we were obligated to purchase this lot at this time. Don Berg's letter of June 1971 was read. John Neveaux stated the Village Engineers initial report and report of Don Berg were not in conflict. A motion was made by John Neveaux and seconded by Nick Waritz that the Planning Commission recommend the Council accept the preliminary plat of Bluff Creek Highlands Second Addition bearing in mind specifically the Village Engineers report of August 16 and the Council refer to the minutes of the August 16 public hearing and that the Council enter into an agreement with Mr. Steiner regarding the requirements of Outlot A purchase and/or dedication of Outlot A by the developer. The following votes were cast: John Neveaux, Ward Passe, Nick Waritz, and Dan Herbst voted in favor. Tom Gabbert voted no. Tom Gabbert was not at the public hearing. This agreement was never put in to effect and about one year ago the Village notified me that they were no longer interested in Outlot A for park purposes. This puts me in a very awkward position, because now access to this land is very difficult. I would like to propose to divide the land in such a way as to join it on to existing lots that butt up to this property and with your permission would like to develop this scheme further and present it to the council at a later date. As a part of the review of this proposed plat and the acquisition of Outlot A of the Second Addition, I have examined the title to Outlot A of Bluff Creek Highlands as of September 20, 1971, at 1 p.m. , based on the abstract of title. From such examination, I conclude that Outlot A of Bluff Creek High- lands was owned as of that date in fee simple by Steiner & Koppelman, Inc. , a Minnesota corporation, subject to the following: 1. Book 33 of Deeds, page 402 (abstract entry #41) , sets out a power line easement to Northern States Power Company which is not defined as to width or location. The document on record grants "an easement for transmission of electric energy over and across all that part of Government Lot 4, Section 36, Township 116, Range 23, lying northerly of Minnesota Trunk Highway 51 as now located. If a power line actually exists over any part of Government Lot No. 4 which is included in the proposed plat, the location of any such line should be shown. If no such line exists, Northern States Power Company should be prevailed upon to relinquish its easement over that part of Govern- ment Lot 4 included within the plat. 7. Book 57 of Deeds, page 558 (abstract entry #47) , shows a telephone line easement one rod wide, but indefinitely located, granted to Northwestern Bell Telephone Company. The language of the easement grants and conveys a right-of-way and easement upon, over and under a strip of land one rod wide across the North 1/2 of the Northwest 1/4 of Section 36, Township 116, Range 23. My comments regarding the power line easement at #6 above apply as well to this easement. 8. There should be quit claim deeds of Outlot A, Bluff Creek Highlands, from Oscar Forslin and spouse, if any, First Federal Savings and Loan Associa- tion of Minneapolis, and John I. Malakowsky and Elaine Z. Malakowsky, husband and wife, to Steiner & Koppelman, Inc. , because the description of the deed to Forslin in Book 62 of Deeds at page 239 (entry #43) and the description in the plat as to which First Federal is recited to be the owner and the Malakowskys as contract purchasers may encroach on Outlot A, Bluff Creek Highlands. The description of said deed and the description in the plat approximates the boundary lines of Lot 4, Block 2, Bluff Creek High- lands. I use the word "approximates" loosely. The description in the deed and Bluff Creek Highlands is as follows: That part of the Northwest Quarter of Section 36, Township 116, Range 23, described as follows: Commencing at a point 905.8 feet East and 573.3 feet South of the Northwest corner of said Northwest Quarter, said point being situated in the West line of State Trunk Highway No. 101 (also known as the Shakopee and Chanhassen Wagon Road and as Vogelsberg Road); thence running North 87 degrees 08 minutes West a distance of 400 feet; thence South 2 degrees 52 minutes West a distance of 220 feet; thence South 87 degrees 31 minutes Village Council -3- January 24, 1972 East a distance of 374 feet, more or less to the said West line of State Trunk Highway No. 101; thence Northerly,,. -along said West line of State Trunk Highway No. 101, 220 feet more or less to the point of beginning. 9. Outlot A of Bluff Creek Highlands is being replatted into Bluff Creek Highlands Second Addition. It appears, however, from the dimensions shown on the preliminary plat of Bluff Creek Highlands Second Addition that parts of Lots 3 and 4, Block 2, of Bluff Creek Highlands may be included in the preliminary plat. Please note the following discrepancies: a. According to the plat of Bluff Creek Highlands, the Southwest corner of Lot 3, Block 2, is 157. 17 feet North of the Southeast corner of Lot 2, Block 2; but in the proposed plat, this distance is shown as 165 feet. b. In the existing plat of Bluff Creek Highands it is 360. 16 feet from the West line of Lot 3, Block 2, to the West line of Lot 4, Block 2; but in the preliminary plat of Bluff Creek Highlands Second Addition, this distance is shown as 363 feet. C. In the existing plat of Bluff Creek Highlands, the South line of Lot 4, Block 2, is 370.27 feet long; but in the proposed plat, it is 368 feet long. As you know, consideration has been given by the Village to the purchase of proposed Outlot A of Bluff Creek Highlands Second Addition. In view of the discrepancies as above noted in the dimensions of Lots 3 and 4, Block 2, which form the northern boundary of proposed Outlot A, I am of the opinion that the title to proposed Outlot A is not marketable at this time, and I recommend that the Village not enter into the proposed contract for deed for the acquisition of this property until such time as these discrepancies are corrected to our satisfaction. I am of the further opinion that until the above noted questions of description are resolved, the final plat of Bluff Creek Highlands Second Addition not be approved. Village Council -4- January 24, 1972 I might point out that the questions of description were brought to the attention of Steiner & Koppelman, Inc. , in 1967 when apparently conside- ration was given to the registration of the title and judicial determination of the boundaries to what is now Bluff Creek Highlands. This action was never instituted, but it is apparent to me at this time that such a proceeding would be highly recommended in view of the problems in the descriptions of these lands. The test report does not identify the existing grade at the point where each test was made --shoulder, side slope, etc. other than to indicate that the test was made at a point l' below existing grade. From the original contours supplied with your prelimin- ary plat, it would appear that the fill depth is greatest at a point about 50' east of the point where density test D2 was made. We suggest that rather than try to obtain further density tests in the now -frozen ground, a bond in sufficient amount to restore the pavement in any area {where subsidence might occur would allow you to proceed further with the subdivision development. Gentlemen: We have reviewed the "Concept Plan" submitted to our office last Friday by Steiner & Koppelman in two respects: characteristics of the soil as shown by percolation tests and lot areas as shown on the plan. The percolation tests report that absorption ranged between 40 minutes per inch (marginal) and 7 minutes per inch (good), as shown on the attach sheet. We question whether satisfactory soil absorption can be had with the 40 minutes per inch material --the maximum used to be 60 minutes, but experience has been that such poor absorption causes seepage or backing up after some period of use. Therefore we would have to classify Lot 1 as marginal, with the need to increase the absorption area over that shown in the normal rules of design. Tests on the other three lots are satisfactory--15 minutes per inch or better. Areas of the four proposed lots are shown on the drawing and vary between 29,500 and 38,000 square feet. These areas are smaller than the 2 acres required for lots without public sewer. We have not had sufficient time'to review other characteristics of the concept plan from the standpoint of criteria similar to those noted in our previous report on the earlier submittal. As you know, the area of this plat lies adjacent and on the west side of State Highway 101 just north of the railroad underpass near Bluff Creek, north of U; S. Highway 212. It is extremely steep, con- sisting of the area between the top of the bluff and the stream bot- tom. It is almost completed forested. A print of the US Geological Survey topo map is attached. Based on engineering considerations alone, it is possible to con- struct a public road to serve that portion of the subject tract which is marginally developable. It is also possible to construct drainage structures which will safely convey runoff originating and flowing through the area. Some changes in the proposed street grades will be necessary, as well as extensions of the pipe systems shown on the preliminary draw- ing. There are possible home sites on four of the nine lots shown, if it can be assumed that the contours (expanded 40 times from the USGS topo map) are nearly accurate. There is one additional lot on which a home might be built (Lot 9) if access is allowed directly from Highway 101. We believe that the subdivision of the subject property should not be approved for the development of residential lots for these reasons: 1. Only half of the nine lots shown contain buildable areas, and these are marginal because of ground slope. difficulty of access from the subdivision road. 2. Construction of "Vogelsberg Trail",the cul-de-sac shown, and its maintenance as a public road will be difficult and will result in a great amount of grading, steep side slopes, removal of a large number of trees (e. g. the cut at Station 2+50 will be about 100` wide). It will be difficult to preserve the ecology of this area with an obvious scar in the Landscape such as roadway construc- tion would necessitate, as well as the clearing and grading which would be required to prepare even minimum -area home - sites on the four or five lots noted above. If it is determined that residential development of this area will be allowed,.we recommend that the developer and his engineer present ex- hibits as described in the Village Ordinance, No. 33; we will be glad to discuss the changes to be required in street grades, widths, and drainage structures with the developer prior to be next submittal.
